今天查Waiver 這個字的用法，明明知道它是代表「放棄」的意思，但實在不了解為何於契約中會有這一項呢？
結果就發現了好東西了…
 

 

Waiver 與 No Waiver是契約中蠻常見的條款。主要用在某些情況下，一方允許另一方不用嚴格地執行契約的條款，例如接受延遲給付、同等品等等；而至於No Waiver則正好相反，根據過去經驗，特別強調未來必須符合於某特定的規範。

回到Waiver，一般合約通常只會請求直接的損害，而會放棄間接損害的求償權利。 

The Subcontractor shall not be entitled to any Consequential losses arising from or in connection with any act or omission under this Subcontract, or any negligence or breach of any provisions of this subcontract on the part of xxx. The subcontractor hereby acknowledges and waives its right to make any claim in this regard.
